1. Acceptance of Terms

By accessing and using the services provided by Guiding Principles ("Company," "we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement.

If you do not agree to abide by the above, please do not use this service.

2. Services Description

Guiding Principles provides enterprise transformation consulting services including but not limited to:

  • Agile transformation consulting and training
  • Solutions architecture and technical consulting
  • Program and portfolio management
  • Process automation and BPM solutions
  • Leadership training and team empowerment
  • Data-driven business strategy consulting

3. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information necessary for service delivery
  • Maintain confidentiality of proprietary methodologies and frameworks
  • Ensure timely payment according to agreed terms
  • Provide reasonable access to personnel and systems as required
  • Comply with all applicable laws and regulations

4. Intellectual Property

All proprietary methodologies, frameworks, templates, and deliverables created by Guiding Principles remain the intellectual property of the Company unless explicitly transferred through a separate agreement.

Client-specific implementations and customizations will be owned by the client upon full payment of services.

5. Confidentiality

We maintain strict confidentiality regarding all client information, business processes, and data. This confidentiality extends beyond the termination of our engagement.

Clients agree to maintain similar confidentiality regarding our proprietary methodologies and business practices.

6. Limitation of Liability

Our liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific engagement giving rise to such claims.

We shall not be liable for any indirect, incidental, special, or consequential damages.

7. Payment Terms

Payment terms are specified in individual service agreements. Generally:

  • Invoices are due within 30 days of receipt
  • Late payments may incur interest charges
  • Services may be suspended for overdue accounts
  • All expenses are billed separately unless otherwise agreed

8. Termination

Either party may terminate services with 30 days written notice. Upon termination:

  • All outstanding invoices become immediately due
  • Work product completed to date will be delivered
  • Confidentiality obligations continue indefinitely
  • Return of confidential materials is required

9. Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction where Guiding Principles is incorporated, without regard to conflict of law principles.
